1. Definitions

1.1 “NavScope” means N.S. IT SERVICES PTY LTD (ABN 75 122 740 121 / ACN 122 740 121), a company incorporated in Australia, operating navscope.io.

1.2 “Platform” means navscope.io, staff.navscope.io, all APIs, and associated sub-domains.

1.3 “Customer” means any natural person or legal entity accessing or using the Platform.

1.4 “Agreement” means these Terms together with NavScope’s Privacy Policy, SLA, No Refund Policy, Editorial Policy, and any applicable Product Schedule.

1.5 “NavScope Content” means all data, AI-generated articles, analytics outputs, narratives, reports, and visualisations produced or made available by NavScope.

1.12 “USDT” means USD Tether on the Ethereum mainnet (ERC-20). All NavScope payments are in USDT only.

1.13 “Master Wallet” means NavScope’s Ethereum USDT receipt address: 0x6e62652a1e5aCd4Ad11b9Df3aA489f681d070Dd3.

1.21 “SLA” means NavScope’s Service Level Agreement at navscope.io/legal/sla, defining availability targets and credit schedules per tier.

1.22 “Subscription Period” means each calendar month for which a Customer has paid a subscription fee.

2. Acceptance and Amendments

By creating an account, accessing the Platform, purchasing any NavScope product, or clicking “I agree,” you agree to be bound by this Agreement. If you do not agree, you must not use the Platform.

NavScope may amend these Terms at any time. Existing Customers will receive at least 14 days’ email notice of material amendments. Continued use after the effective date constitutes acceptance.

3. Service Description

NavScope is a cryptocurrency data analytics platform providing market data, on-chain analytics, AI-generated editorial content, and MCP API access. NavScope does not operate a cryptocurrency exchange, hold user funds, or execute trades.

Not financial advice. NavScope Content does not constitute financial advice, investment advice, or a recommendation to buy, sell, or hold any digital asset. NavScope does not hold an AFSL.

Service availability commitments are set out in the SLA.

Editorial independence. Payment for any NavScope product does not purchase editorial immunity. NavScope may publish Critical-Question Articles about any Token regardless of its commercial relationship with NavScope.

5. Payment Terms — USDT Ethereum Only

Read Before Sending Payment

NavScope accepts payment exclusively in USDT (Tether, ERC-20) on the Ethereum mainnet. Payments on any other network (TRON, BSC, Polygon, Arbitrum, etc.) are permanently lost and unrecoverable. NavScope is not liable for wrong-chain payments.

Master Wallet

Fractional ID Attribution

At your first checkout, NavScope assigns you a permanent 6-decimal Fractional ID (e.g., .000123) embedded in every invoice amount. This is your permanent payment reference. You must include the exact invoice amount (including the fractional component) in every payment.

Manual Renewal — No Auto-Charge

Subscriptions do not auto-renew. NavScope issues renewal invoices at least 5 Working Days before your period expires. If NavScope does not receive renewal payment before expiry, your subscription lapses automatically. There is no auto-billing to cancel.

AUSTRAC / AML-CTF Position

NavScope assesses that it is not a Designated Service provider under the AML/CTF Act 2006 (Cth) and is not a Digital Currency Exchange required to register with AUSTRAC. This assessment is pending formal legal advice (T007 solicitor engagement). If AUSTRAC subsequently reclassifies NavScope, all current customers will be notified within 30 days and may cancel without penalty if compliance changes materially alter the service.

6. SaaS Subscription — Cancellation and Suspension

Cancellation by You

You may cancel your subscription at any time by emailing [email protected]. Cancellation of a recurring subscription stops the next billing cycle only; access continues at the paid tier through the scheduled period end date. No refund of unused days is provided. See the Refund Policy and Australian Consumer Law rights.

Suspension by NavScope

NavScope may suspend access where you breach a material provision of this Agreement, engage in fraudulent or illegal activity, or pose a security risk. Where feasible, NavScope will provide at least 48 hours’ notice before suspension and an opportunity to remedy the breach. Emergency suspension (active security threat or regulatory direction) may occur without advance notice. Suspension does not entitle you to a refund for the suspended period unless the suspension is found to be wrongful.

Reinstatement

You may request reinstatement by demonstrating that the breach or concern has been remediated. NavScope will review reinstatement requests within 5 Working Days.

7. No Refund Policy; Delivery at Payment

All fees paid to NavScope (N.S. IT SERVICES PTY LTD, ABN 75 122 740 121) are non-refundable. On-chain payment confirmation constitutes final acceptance of the service, and NavScope’s delivery obligation is satisfied at the point of activation for the paid tier: for API tiers, on API key issue and first data response; for subscription tiers, on tier-flag activation and first extended-window access; for editorial and publisher services, on first render, publish, or badge issue; for one-time services, on completion of the specified deliverable (staff review, coverage report, verification badge, integration onboarding). Cancellation of a recurring subscription stops the next billing cycle only; access continues at the paid tier through the scheduled period end date. No pro-rata, partial, or full refund is available on customer request. Per-tier delivery-moment detail is set out in the applicable tier terms page.

This clause does not exclude, restrict, or modify any consumer guarantee, right, or remedy under the Australian Consumer Law (Competition and Consumer Act 2010, Schedule 2) that cannot lawfully be excluded, including without limitation the guarantee of acceptable quality and the guarantee that services will be rendered with due care and skill.

8. Data Retention and Portability

NavScope retains Customer account information for the duration of the account + 7 years. Payment records (USDT TX hashes, Fractional ID) are retained for 7 years from transaction date per ATO tax records and potential AUSTRAC obligations. Full retention periods are set out in the Privacy Policy.

You may request a copy of your personal data in JSON format by emailing [email protected]. NavScope will respond within 30 calendar days.

On account termination, NavScope retains data for the applicable retention period per law, then de-identifies or deletes it.

9. Intellectual Property

All NavScope Content — including AI-generated articles, analytics outputs, data visualisations, reports, branding, and Platform code — is owned by or licensed to N.S. IT SERVICES PTY LTD. All rights not expressly granted to you are reserved. You receive a non-exclusive, non-transferable, revocable licence to use NavScope Content for your own personal or internal business purposes during your subscription term. You may not redistribute, sublicense, or make NavScope Content publicly available without NavScope’s prior written consent, except for limited excerpts with proper attribution (navscope.io) for non-commercial informational purposes. AI-generated content produced by NavScope is owned by N.S. IT SERVICES PTY LTD to the extent permitted by applicable law.

10. Limitation of Liability

To the maximum extent permitted by the AU ACL, NavScope’s total aggregate liability for any claims arising from the Platform or this Agreement is limited to the total USDT fees paid by you in the 12 months preceding the claim, converted to AUD, with a minimum floor of AU$1,000 and a maximum ceiling of AU$50,000.

SaaS-Specific Liability Limits

  • Webhook delivery failures: remedy is a service credit per the SLA — not general liability.
  • API rate limiting within your tier limits: no liability.
  • Third-party exchange data inaccuracies or delays: no liability.

NavScope excludes all liability for indirect, incidental, special, consequential, or punitive loss, including loss of profit, trading losses, or loss arising from wrong-chain payments.

Australian Consumer Law: Nothing in these Terms excludes any right or remedy available to you under the AU ACL that cannot be contracted out of. Where you are a consumer under section 3 of the Competition and Consumer Act 2010 (Cth), statutory guarantees under the Australian Consumer Law apply. EU/UK consumers retain rights under mandatory local consumer protection laws.

11. Acceptable Use

You may use NavScope for lawful purposes within the limits of your subscription tier. You must not:

  • Scrape, mirror, or redistribute NavScope data commercially without a written licence agreement
  • Bypass or circumvent rate limits, authentication, or access controls
  • Conduct automated mass requests beyond your API tier limits
  • Transmit malicious code, spam, or DDoS traffic to NavScope infrastructure
  • Misrepresent NavScope data or analytics as your own proprietary analysis
  • Use the Service in connection with any unlawful activity, including market manipulation
  • Reverse-engineer, decompile, or disassemble any part of the Platform
  • Submit false, misleading, or fraudulent information to NavScope

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of New South Wales, Australia. Disputes are subject to the non-exclusive jurisdiction of the courts of New South Wales.

Before formal proceedings, parties agree to attempt good-faith negotiation for 30 days. If unresolved, either party may refer the dispute to mediation through the Australian Disputes Centre (ADC) with costs shared equally.

EU/EEA Customers: Mandatory consumer protection laws of your EU member state apply and cannot be excluded.

UK Customers: Consumer Rights Act 2015 and UK GDPR apply.

Australian Customers: Australian Consumer Law guarantees apply and cannot be contracted out of.
