Terms of Service — Enterprise

1. Overview & Acceptance

These Terms of Service ("Terms") govern your use of the NavScope Enterprise subscription tier ("Enterprise" or "the Service"), priced at $499 USDT per calendar month with a minimum 3-month commitment. Enterprise is NavScope's highest-tier subscription plan, providing dedicated compute allocation, contractual SLA credits, SSO integration, 90-day audit logging, a named account team, and a 4-hour support response SLA. Effective date: 2026-07-18. These Terms apply to all Enterprise subscriptions activated on or after that date and to renewals of pre-existing Enterprise subscriptions after that date.

Jurisdiction: NavScope is operated from Melbourne, Australia. These Terms are governed by the laws of the State of Victoria, Australia.

Acceptance by use: By activating an Enterprise subscription, executing the NavScope Enterprise onboarding agreement, connecting a USDT payment wallet, or making an API call against an Enterprise-tier API key, you agree to these Terms in full.

2. Service Level Agreement (SLA)

NavScope commits to up to 99.9%* platform uptime for Enterprise, measured on a rolling 30-day window. Availability is calculated as:

Availability % = ((total minutes in window − excluded downtime minutes) / total minutes in window) × 100

Enterprise clients are hosted on a dedicated infrastructure slot (not shared compute), providing resource isolation from other subscription tiers.

Service credits (Enterprise): If measured uptime falls below 99.5% in any rolling 30-day window, Enterprise clients are entitled to a pro-rated service credit equal to the proportion of downtime below 99.5%, applied as a credit against the next billing cycle and paid out within 14 days of a confirmed breach. Credit is capped at the monthly subscription value and is not issued as cash or USDT. To claim, email [email protected] within 14 days of the window end with your account ID and the UTC dates in question.

Support SLA: Enterprise includes a named account team with a 4-hour first-response target for support tickets (24/7, including weekends). Response time targets are covered by the same service credit mechanism as uptime when the account team fails to meet this target for P1 incidents.

Maintenance notice: Planned maintenance is announced at least 7 days in advance via the NavScope status page, email to all designated technical contacts, and the account's dedicated Slack channel (if configured). This is the most protective maintenance notice period across all NavScope tiers.

3. Exception Categories (Downtime NOT Counted Against SLA)

* "Up to 99.9%" reflects the infrastructure design target. SLA credit threshold for Enterprise is 99.5% measured availability. Credit payout window is 14 days from confirmed breach.

4. Product Scope

Tier changes: Enterprise requires a minimum 3-month commitment. Early downgrade to Pro or Explorer within the commitment window forfeits unused prepaid months. After the minimum commitment, downgrades take effect at the next billing cycle with 30 days written notice to the account team.

5. Payment

Enterprise subscriptions are billed at $499 USDT per calendar month with a minimum 3-month prepayment at activation (total minimum: $1,497 USDT). Ongoing months after the commitment period are billed monthly in advance. All payments are made in USDT via the wallet address generated at subscription activation — see the master NavScope Terms of Service for the full USDT address generation policy.

Irreversibility: USDT transactions confirmed on-chain are irreversible. NavScope cannot recall or reverse a completed blockchain payment.

Non-payment: If a monthly renewal payment is not received, access is maintained for a 7-day grace period at Pro-equivalent quota. After 7 days, dedicated infrastructure is released and the subscription is downgraded to suspended. Account data is retained 30 days before deletion.

6. No Refund Policy; Delivery at Payment

This tier is delivered at payment as follows: data pulled = data exposed = product delivered; committed rate-limit capacity (API Enterprise tier).

Cancellation of a recurring subscription stops the next billing cycle only; access continues at the paid tier through the scheduled period end date. Enterprise carries a minimum 3-month commitment — cancellations submitted before the end of the 3-month window result in forfeiture of unused prepaid months. Cancellations after the commitment period must be submitted in writing to the designated account team at least 30 days before the next renewal date. No refund of any kind is available.

7. Data & Privacy

For the Enterprise tier, NavScope collects and processes:

Enterprise clients may request a Data Processing Agreement (DPA) for their jurisdiction at [email protected]. On cancellation, all personal and company data is deleted within 30 days except where legal retention obligations apply. Full privacy practices: NavScope Privacy Policy.

8. Acceptable Use

You must not use the Enterprise tier to:

Consequences: First violation — account team escalation and written warning. Repeated or severe violation — suspension with pro-rated credit for unused days. Deliberate infrastructure abuse — permanent termination and legal referral.

9. Termination

User-initiated: Submit cancellation in writing to your account team at least 30 days before the next renewal date. Access continues through the end of the paid cycle. Dedicated infrastructure slot is released at cycle end.

NavScope-initiated: NavScope may terminate immediately for: (a) material breach of these Terms; (b) non-payment beyond the 7-day grace period; (c) legal obligation. Termination for cause forfeits remaining prepaid months without refund, except where Australian consumer law requires otherwise.

Effect on data: API keys, SSO credentials, and WebSocket access are revoked immediately. Audit logs are available for export for 7 days post-termination. All data is deleted within 30 days.

10. Liability & Warranty Disclaimer

NavScope provides the Enterprise tier "as is" and "as available," supplemented by the SLA commitments in Section 2. To the fullest extent permitted by Australian consumer law, NavScope disclaims all implied warranties beyond those explicitly stated in these Terms.

NavScope's total liability to you shall not exceed the total subscription fees paid in the 12 months immediately preceding the claim. NavScope is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or trading losses, even if advised of the possibility of such damages. SLA credits are the exclusive financial remedy for uptime shortfalls.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Victoria, Australia. Disputes shall first be escalated to the account team for good-faith resolution. If unresolved within 30 days, the parties agree to formal mediation in Melbourne, Victoria before commencing litigation. Victorian courts have exclusive jurisdiction over proceedings not resolved by mediation.

12. Terms Updates & Contact

NavScope will notify Enterprise clients of material changes to these Terms by email to all designated contacts at least 30 days before changes take effect. Continued use after the effective date constitutes acceptance. Minor, non-material updates may be made without notice.
