Terms of Service — Exchange Enterprise
1. Overview & Acceptance
These Terms of Service ("Terms") govern your use of the NavScope Exchange Enterprise subscription tier ("Exchange Enterprise" or "the Service"), priced at $999 USDT per calendar month with a minimum 3-month commitment. Exchange Enterprise is NavScope's highest-tier exchange-data product, providing dedicated infrastructure, contractual SLA credits, per-exchange SLA clauses for up to 5 named exchanges, white-glove onboarding with a dedicated integration engineer, white-label API keys, SSO, 90-day audit logging, a named account executive, and a 2-hour 24/7 support response target. Effective date: 2026-07-18. These Terms apply to all Exchange Enterprise subscriptions activated on or after that date and to renewals of pre-existing Exchange Enterprise subscriptions after that date.
Jurisdiction: NavScope is operated from Melbourne, Australia. These Terms are governed by the laws of the State of Victoria, Australia.
Acceptance by use: By activating an Exchange Enterprise subscription, executing the NavScope Exchange Enterprise onboarding agreement, connecting a USDT payment wallet, or making an API call against an Exchange Enterprise-tier API key, you agree to these Terms in full.
2. Service Level Agreement (SLA)
NavScope commits to up to 99.9%* platform infrastructure uptime for Exchange Enterprise, measured on a rolling 30-day window. Exchange Enterprise clients are hosted on a dedicated infrastructure slot (not shared compute), providing resource isolation from all other tiers.
Availability % = ((total minutes in window − excluded downtime minutes) / total minutes in window) × 100
Service credits (Exchange Enterprise): If measured platform uptime falls below 99.5% in any rolling 30-day window, Exchange Enterprise clients are entitled to a pro-rated service credit equal to the proportion of downtime below 99.5%, applied as a credit against the next billing cycle and paid out within 14 days of a confirmed breach. Credit is capped at the monthly subscription value and is not issued as cash or USDT. To claim, email [email protected] or contact your named account executive within 14 days of the window end.
Per-exchange SLA clauses: Exchange Enterprise clients may negotiate per-exchange data-freshness SLA clauses for up to 5 named critical exchanges during onboarding. These clauses are documented in the onboarding contract and may provide additional credit triggers beyond the platform uptime SLA above.
Support SLA: Exchange Enterprise includes a dedicated account executive and integration engineer (during onboarding) with a 2-hour first-response target (24/7 including weekends) for P1 incidents. Response time failures for P1 incidents trigger additional service credits under the same pro-rata mechanism as uptime shortfalls.
Maintenance notice: Planned maintenance announced at least 7 days in advance via the NavScope status page, mandatory dedicated Slack channel, and email to all registered technical contacts. Emergency maintenance with less than 7-day notice is capped at 4 occurrences per quarter and triggers an automatic 0.5-day service credit per occurrence.
3. Exception Categories (Downtime NOT Counted Against SLA)
- Unplanned downtime: unforeseen incidents, force majeure events, provider outages beyond NavScope's direct control, DDoS events, and network-level attacks.
- Exchange-specific data provider issues: individual exchange API outages, trading halts, rate-limit enforcement by the exchange, geo-blocking changes, exchange maintenance windows, and API deprecations. Per-exchange outages do not count against platform availability when the majority of contracted exchanges remain reachable. Exchange Enterprise clients may negotiate per-exchange SLA clauses in their onboarding contract for up to 5 named critical exchanges.
- Scheduled maintenance windows: planned maintenance announced at least 7 days in advance via the NavScope status page, dedicated Slack channel (mandatory for Exchange Enterprise), and email to all registered technical contacts. Emergency maintenance with less than 7-day notice: capped at 4 occurrences per quarter and triggers automatic service credit.
- User-caused issues: requests that exceed the agreed usage profile, malformed queries, or use in violation of the Acceptable Use section below. Exchange Enterprise clients who complete white-glove onboarding are exempt from this exception for issues traceable to NavScope's onboarding guidance.
White-glove onboarding clause: Exchange Enterprise includes a dedicated integration engineer for the first 30 days post-activation, with a 2-hour support response target (24/7, including weekends). Integration decisions made by NavScope's engineer during the onboarding window are covered by the SLA exemption above.
* "Up to 99.9%" covers NavScope platform infrastructure. SLA credit threshold for Exchange Enterprise is 99.5% measured availability. Credit payout window: 14 days from confirmed breach. Per-exchange clauses negotiated separately in onboarding contract.
4. Product Scope
Included in Exchange Enterprise:
- All Exchange Pro features (full orderbook depth, WebSocket, OHLCV, CEX + DEX unified, full MCP)
- Dedicated compute allocation — isolated from all shared infrastructure
- White-label API keys (your branding on key prefixes)
- SSO integration: SAML 2.0 and OIDC (setup within 5 business days of onboarding)
- 90-day audit log retention with export (JSON / CSV)
- Co-branded MCP manifest option (custom tool descriptions for your AI deployment)
- Per-exchange SLA clauses for up to 5 named critical exchanges
- Dedicated integration engineer (first 30 days, 2-hour 24/7 response)
- Named account executive (ongoing, 2-hour 24/7 P1 response)
- Custom exchange adapter evaluation (30-day lead time, case-by-case)
- Historical OHLCV data: 180-day window, extended on request
- Quarterly business review with NavScope account team and data leadership
Not included (available as bespoke agreements):
- On-premises deployment of NavScope data pipeline (not currently offered)
- Unlimited custom exchange adapter development beyond the evaluation engagement
- Per-exchange SLA clauses beyond the 5-exchange cap (contact sales)
Tier changes: Exchange Enterprise requires a minimum 3-month commitment. Early downgrade within the commitment window forfeits unused prepaid months. After the commitment period, downgrades require 30 days written notice to your account executive and take effect at the next billing cycle.
5. Payment
Exchange Enterprise subscriptions are billed at $999 USDT per calendar month with a minimum 3-month prepayment at activation (total minimum: $2,997 USDT). Ongoing months after the commitment period are billed monthly in advance. All payments are made in USDT via the wallet address generated at subscription activation. Irreversibility: USDT transactions confirmed on-chain are irreversible. NavScope cannot reverse a completed blockchain payment.
Non-payment / grace period: If a monthly renewal payment is not received, access is maintained for a 7-day grace period at Exchange Pro-equivalent quotas. After 7 days, dedicated infrastructure is released and the subscription is suspended. Account data is retained 30 days before deletion.
6. No Refund Policy; Delivery at Payment
This tier is delivered at payment as follows: dedicated MCP tool deployed to mcp.navscope.io tools/list; exposed to global AI-agent traffic from deploy (Exchange MCP Enterprise).
All fees paid are non-refundable. Exchange Enterprise carries a minimum 3-month commitment — cancellations submitted before the end of the 3-month window result in forfeiture of unused prepaid months. Cancellations after the commitment period must be submitted in writing to your named account executive at least 30 days before the next renewal date. Dedicated infrastructure slot is released at cycle end. No refund of any kind is available.

7. Data & Privacy
For Exchange Enterprise, NavScope collects and processes:
- Account and company information (legal name, registered address, technical and business contacts)
- USDT wallet address(es) used for payment
- API key usage logs — retained 90 days (exportable)
- Audit logs (all authenticated API and WebSocket actions) — retained 90 days (exportable)
- SSO configuration and identity-provider metadata (not user passwords)
- WebSocket session metadata — retained 30 days
- Onboarding and account team correspondence, integration documentation
- Per-exchange SLA monitoring data for named exchanges in your onboarding contract
Exchange Enterprise clients may request a Data Processing Agreement (DPA) at [email protected]. On cancellation, all personal and company data is deleted within 30 days, with a 7-day post-termination audit log export window. Full privacy practices: NavScope Privacy Policy.
8. Acceptable Use
You must not use Exchange Enterprise to:
- Exceed the agreed usage profile from your onboarding contract without prior written approval
- Share white-label API keys beyond the scope of your named users or integrated systems
- Resell or sublicense NavScope exchange data or API access to third parties without a separate licensing agreement
- Conduct automated stress-testing or vulnerability scanning against NavScope infrastructure
- Use exchange data to facilitate market manipulation, wash trading, or activities prohibited by financial regulators
- Attempt to access data beyond the scope of your contracted usage profile or per-exchange SLA clauses
Consequences: First violation — account executive escalation and written warning. Repeated or severe violation — suspension with pro-rated credit for unused days. Deliberate infrastructure or market abuse — permanent termination and referral to regulators.
9. Termination
User-initiated: Submit cancellation in writing to your account executive at least 30 days before the next renewal date. Access continues through the end of the paid cycle. Dedicated infrastructure is released at cycle end.
NavScope-initiated: NavScope may terminate immediately for: (a) material breach of these Terms; (b) non-payment beyond the 7-day grace period; (c) legal obligation. Termination for cause forfeits remaining prepaid months without refund, except where Australian consumer law requires otherwise.
Effect on data: API keys, SSO credentials, and WebSocket access are revoked immediately. Audit logs are available for export for 7 days post-termination. All data is permanently deleted within 30 days.
10. Liability & Warranty Disclaimer
NavScope provides Exchange Enterprise "as is" and "as available," supplemented by the contractual SLA credits in Section 2. To the fullest extent permitted by Australian consumer law, NavScope disclaims all implied warranties beyond those explicitly stated in these Terms.
NavScope is not responsible for the accuracy, completeness, or timeliness of data sourced from upstream exchanges. NavScope's total liability shall not exceed the total subscription fees paid in the 12 months immediately preceding the claim. NavScope is not liable for indirect, incidental, consequential, or punitive damages, including trading losses. SLA credits are the exclusive financial remedy for uptime and support-response shortfalls.
Exchange data is provided for informational and analytical purposes only and does not constitute financial, investment, or trading advice.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Victoria, Australia. Disputes shall first be escalated to the account executive for good-faith resolution. If unresolved within 30 days, the parties agree to formal mediation in Melbourne, Victoria before commencing litigation. Victorian courts have exclusive jurisdiction over proceedings not resolved by mediation.
12. Terms Updates & Contact
NavScope will notify Exchange Enterprise clients of material changes to these Terms by email to all designated contacts at least 30 days before changes take effect. Continued use after the effective date constitutes acceptance. Minor, non-material updates may be made without notice.
